Case Study – Business Law/Real Estate

Problem: Our clients were interested in investing in real estate properties. They needed to find out how to do so without putting their personal assets at risk and in a way that insulated them from tax liability. The clients also needed to secure financing and determine the best way to set up their organization to meet their objectives.

Resolution: Partner Craig Pierson shepherded this project through from start to completion and payout. He advised clients that a limited liability corporation best suited their financial objectives. He then created the LLC and drafted the operating agreement. To enable his clients to raise capital, he drafted an investor agreement and other necessary documentation. In order to help keep projects moving forward according to schedule to meet investors’ expectations, he drafted a contract with the general contractor that creatively offered incentives not typically provided for in this business. Finally, he assisted with the purchase and sale of several investment properties.
